Commercial Real Estate

Our real estate practice includes a broad range of real estate related matters including acquisitions and sales, development and finance, lending and leasing.

Acquisition and Sale Transactions  
We represent buyers and sellers in the purchase and sale of commercial properties such as office buildings, retail strip centers, power centers, industrial properties, hotels, retirement facilities, mixed use centers and raw land.

Development
I
n addition to aiding clients with the acquisition of real property, we also assist clients with their development needs including negotiating joint venture and development agreements, construction contracts, construction loans, easement agreements and declarations of easements, covenants, restrictions and entitlements.

Commercial Lending
We represent both borrowers and lenders in all types of commercial lending transactions, including conventional loan transactions, mezzanine financing, securitized loans and loan defeasance transactions.  We also represent borrowers and lenders in loan refinancing, restructuring and workout transactions.

Commercial Leasing
We represent landlords and tenants in commercial lease negotiations for retail, office and industrial properties.  We have negotiated anchor tenant leases, in-line leases, ground leases, build-to-suit leases, multi-floor Class A office leases and single tenant office building leases.

Corporate and Securities

Our corporate and securities practice includes the formation of business entities, joint ventures, mergers and acquisitions, securities offerings, financings and a broad range of other corporate transactions.

Entity Formation
We represent clients with regard to the formation of business entities, including initial filings, licensure and negotiating shareholder agreements, operating agreements, bylaws and related documents.  We also advise clients with regard to the initial and ongoing capitalization of businesses, including the issuance of equity, rights involving common and preferred equity, transfer restrictions, buy-sell agreements and related matters.  We also resolve equity holder disputes, including freeze-out and oppression claims of minority equity holders.

Joint Ventures and Strategic Alliances
We represent clients in the negotiation and formation of strategic alliances, joint ventures and partnership agreements.

Mergers and Acquisitions
We represent buyers and sellers in all aspects of asset purchase and sale transactions, mergers and related transactions. We represent clients regarding confidentiality terms and agreements, letters of intent, due diligence, purchase and sale agreements and schedules, as well as all aspects of closing.

Securities
We represent issuers, buyers and sellers in the negotiation of term sheets, equity purchase and sale agreements, registration rights, warrants, options and related matters. We also represent issuers in the development of private placement memorandums and compliance with federal securities laws and state “blue sky” securities laws.

Lending
We have substantial experience with the Uniform Commercial Code and represent borrowers and lenders in many types of lending transactions.

Contracts
We represent clients in all phases of commercial contract transactions. We review, prepare and negotiate employment and contractor agreements, license agreements,  supply agreements, production agreements, and service agreements, among other types of agreements.

Sustainable Industries

In addition to expertise in the areas of commercial real estate, corporate and securities law, our personnel have significant experience in applying our expertise to clients in sustainable industries.  We’re proud to say that our firm currently has three LEED® accredited attorneys.
